4. Governance

This section covers information relating to the way the college is governed and how decisions are made.  It includes information on the legal status of the college, which individual member of staff or group within the organisation is responsible for specific functions and where they fit in the overall structure of the organisation.


Legal Framework


Carnegie College is incorporated under the Further and Higher Education (Scotland) Act 1992.  The Further and Higher Education (Scotland) Act 1992 gave specific duties and powers to the Board of Management.  Further information is available on the Carnegie College website.  (Note on Further and Higher Education (Scotland) Act 1992 – section 2 of Board Handbook)


Governance Structure


Carnegie College is governed by a Board of Management, which has 16 members.  A list of members can be found on the Carnegie College website.  (About Us section of Carnegie College website

On a day-to-day basis, Carnegie College is managed by an Executive Group, which has 4 members.  Again, a list of Executive Group members can be found on the Carnegie College website.  (Information on the Executive Group)


Conflict of interests


Members of the Board of Management and Executive Group are expected to declare any conflict of interests they may have on an ongoing basis.  They each complete a form on a 6-monthly basis outlining their interests, but can submit changes at any time throughout the year.  Members of the Board are given an opportunity to declare any additional interests they may have at the start of each Board of Management meeting.  The Clerk to the Board maintains a register of interests.  Current declarations of interests for Board Members can be found on the Carnegie College website (Information on the Board of Management on College website) and are available for inspection in the Library, Carnegie College. Members of the Board of Management are given guidance on the types of interests they require to declare in the Code of Conduct (Code of Conduct)

All members of staff are expected to declare any conflict of interests they may have.  A policy is available to staff on Declaration of Employees’ Interests, and the Clerk keeps a register of interests to the Board.  (Declaration of Interests document).

Institutional structure


Carnegie College comprises:

  • Carnegie College: providing lifelong learning services from the Dunfermline campus, the Cowdenbeath campus, Rosyth campus, Access Centres, community learning centres and prison learning centres, primarily funded by grant-in-aid, fees and the Scottish Prison Service.
  • Carnegie Enterprise Limited: a wholly owned company offering a range of commercial business-related services in and from the Carnegie Conference Centre. (Carnegie Enterprise Limited Publication Scheme )

Major committees


Carnegie College has a number of sub-committees and working groups.  Details of these can be found on the Carnegie College website.  (Committee and Working Group Structure document )

The Board of Management of Carnegie College has several documents in place, which ensure the Board and its sub-committees function appropriately:


Agendas, papers and minutes of the Board of Management and each of its sub-Committee are available for inspection in the Library, Carnegie College.  Business conducted under Part 2 Agendas is commercially sensitive and is therefore exempt from the Publication Scheme. 

The Board of Management and each of its sub-committees meet quarterly.  Dates for all meetings are scheduled at the start of the year, and can be found on the Carnegie College website.  (Dates of meetings in 2010-2011 )
